English law will govern this Agreement. You the customer and we iüLabs Ltd each submit to the exclusive jurisdiction of the English courts. If any provision of this Agreement shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

The limitations of liability in these conditions shall apply equally for the benefit of iüLabs Ltd and any other associated company of iüLabs Ltd as if references to iüLabs Ltd included references to each such associated company.

The entire liability of iüLabs Ltd under or in connection with any contract for any products to which these conditions apply shall not exceed the price of the products, except as expressly provided in these conditions.
5. Indemnity
You agree to indemnify iüLabs Ltd from and against any liability, losses, rights, expenses, loss of profits, business interruption, consequential loss, pecuniary loss, claims or legal proceedings, including, but not limited to claims involving defamation and intellectual property infringement, and expenses, including legal fees, resulting from or in any way connected with your breach of this Agreement or arising from your use of the iüLabs Ltd site or purchase of goods and/or services which are brought or threatened against iüLabs Ltd or suffered or incurred by iüLabs Ltd by another person or entity.
6. Privacy Policy
iüLabs Ltd will treat all your personal information as confidential and will only use and process it in accordance with our Privacy Policy. By using our Website, you consent to such processing and you warrant that all data provided by you is accurate.
When you shop on this Website, we will ask you to input personal details in order for us to identify you, such as your name, e-mail address, billing address, delivery address, credit card or other payment information. We confirm that this information will be held by us in accordance with the registration we have with the Data Commissioner’s office.
7. Purchasing Items from Us
If you order a product, payment must be received by iüLabs Ltd prior to iüLabs Ltd’s acceptance of the order. Your order is expressly conditional on acceptance of this Agreement. Once a properly completed order, your authorization, and a form of payment have been received, we will promptly locate the item(s) you have ordered to place them in line for shipment. All items are subject to availability. We will promptly inform you if the product(s) you have ordered are not available and we may offer you alternative product(s) of equal quality and value.
iüLabs Ltd only accepts orders for personal use. You cannot resell items offered on the Website. If iüLabs discovers that you are placing orders with the intent to resell we may immediately cancel your order, suspend or terminate your account, and pursue any and all available legal remedies from you under applicable law.
iüLabs Ltd is required to collect applicable sales tax on orders shipped to the UK [and the EU]. Your final order total will include the appropriate sales tax.
In ordering products through the Website, you agree to provide only true, accurate, current, and complete payment information. By placing an order, you represent and warrant that you will only provide payment information which is yours or for which you are authorized to provide. IüLabs shall have the right to cancel your order or to suspend or terminate your account if we have grounds to believe that you have provided inaccurate, not current, fraudulent, or incomplete payment information to IüLabs, or for any other reason that we, in our sole discretion, deem appropriate.
iüLabs Ltd reserves the right to discontinue or change specifications, and prospectively change prices on products, in each case without incurring any obligation to you. iüLabs Ltd takes reasonable precautions to try to ensure that the prices quoted on the Website are correct, and to describe the items available on the Website as accurately as possible and to depict the most up to date packaging. However, when ordering products, please note that iüLabs Ltd does not warrant that product descriptions are accurate, complete, reliable, current, or error-free, or that product packaging depicted on the Website will match the actual product that you receive. If a product described on the Website is not as described when you receive it, or the packaging on the Website does not match the product you receive, your sole remedy is to return it to us in accordance with our Return Policy, which is detailed below.
Please be aware that prices, availability, and other purchase terms are subject to change. We make every effort to ensure the accuracy of the information on the Website and to correct errors once discovered. If we discover an error has occurred after your credit card has been charged and your order is cancelled as a result of the error, your credit card will be refunded the full amount of your order. iüLabs also reserve the right to withdraw offers and stock for reasons of administration or system error and again card charges will be reversed accordingly.
8. Subscriptions and Automatic Renewal Terms
If you are placing an order online as part of iüLabs’ subscription program, your membership in the program will remain in effect until it is cancelled. The payment card you provide will be charged the amount stated on the website corresponding to the product you purchase, and your payment card will automatically be charged the same monthly amount every thirty (30) days thereafter.
If you are a member of our automatic renewal program and you have provided us with a valid credit card number or an alternate payment method, each shipment will be automatically processed at the time of each successive instalment and will be billed to the payment method you provided to us at the time of your initial purchase and enrolment.
You are obligated to provide current, complete, and accurate information for your billing account. You are responsible for promptly updating all information to keep your billing account current, complete, and accurate (e.g., change in billing address, credit card number, or credit card expiration date). You must promptly notify us if your credit card information is cancelled or is no longer valid. Changes to such information can be made by emailing us at hello@iulabs.co.

9. Discount Vouchers and Codes
Discounts can be used towards goods of a higher price than the value of the Discount on payment of the excess by credit/debit card.
Discounts can be redeemed only on purchases made in GBP sterling, they cannot be assigned or transferred and only one Discount can be redeemed against a purchase in any one transaction. Further, Discounts cannot be used in conjunction with Promotional Vouchers, they cannot be claimed on transactions that have already been processed by IüLabs and they only apply against the full normal RRP of the product, unless otherwise stated.
10. Delivery
All dates quoted for delivery are estimated delivery dates only and may be subject to change. iüLabs Ltd cannot accept liability for any loss or damage (whether direct or indirect) for delivery at any time other than the estimated date for delivery.
iüLabs will add applicable delivery and handling fees to your order. IüLabs may reject orders where the stated delivery address is outside the UK.
iüLabs will use reasonable efforts to ensure orders received before 3pm will, subject to availability, be despatched on the same day for a 2 working day delivery. Those orders received after 3pm will be despatched the day after. These are good faith estimates and may be subject to change.
If products are not available for immediate delivery, you will be informed, and products will be delivered when they become available. If your order will be delayed (either from the date specified at the time of order or, if no date was specified, beyond 30 days from the date of your order, iüLabs will cancel the order and refund the amount paid.

11. Returns and Refunds
If you are not entirely happy with the product you have chosen, you may return it to us within 14 days of receipt of the product. We will offer you an exchange or a refund, provided that the products are returned complete, in perfect condition, unused and unopened, with the original packaging intact. Ensure you provide a means of identifying your order.

12. Intellectual Property
The content of the Website is protected by copyright, trademarks, database and other intellectual property rights and all material and content supplied will remain the property of iüLabs Ltd. You may retrieve and display the content of the Website on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use but you may not reproduce, modify, copy or distribute or use it for commercial purposes.
13. Matters Beyond our Reasonable Control
iüLabs will not be held liable for any breach of this Agreement caused by circumstances out of its control including, but not limited to, Acts of God, fire, lightening, or extremely severe weather, explosion, war, disorder, flood, industrial disputes (whether or not involving our employees), acts or omissions of Internet services providers or acts of local or central Government or other competent authorities.
